Terms & Conditions

Payment Terms: 

  • Our standard terms are Net 25th
  • Statements are sent after the 25th of each month along with all invoices for that period, if requested
  • All account payments are due by the 25th of the following month. If mailed, must be postmarked prior to the 25th to avoid default.
      • For example; materials invoiced between 2/1/20xx and 2/25/20xx will be reported on the 2/26/20xx statement and must be paid in full by 3/25/20xx; the “due date,” refusal to do so shall constitute default.
  • Accounts unpaid by the due date are in default and subject to 1% monthly service charge of the amount past due. This service charge will continue to accrue each month until all overdue accounts are paid in full. Once interest is accrued, it will not be waived.
  • Shade and Wise accepts payments by cash, ACH, electronic check or approved credit card. Account payment via credit card is offered, however, all accounts that are paid via credit card are subject to a 2% credit card processing fee.
  • A check presented for payment and returned by the bank will be assessed a $35.00 returned check fee.
  • Any payment received towards an account in default shall first be applied to outstanding service charges then to outstanding invoice(s) beginning with the oldest and moving forward; customer remittances, notwithstanding.
  • Shade & Wise reserves the right to deny credit or close an existing account for any reason, solely within the discretion of Shade and Wise.
  • In the event Shade and Wise employs legal counsel or otherwise resorts to the court or a collection agency in order to enforce this agreement or secure payment under this account, customer agrees to pay all costs thereof including but not limited to legal fees, investigatory costs, court costs and/or other fees and costs incurred in the enforcement of this agreement.
  • Shade & Wise may file a mechanic’s lien for unpaid balances.
  • Customer authorizes Shade and Wise to investigate the applicant’s credit history for its credit purposes and may report customer credit history to requesting parties. S&W may also retain customer identification(s) needed for transaction authorization and authentication.
  • Customer authorizes sales upon oral instruction, with or without signature of the customer agent, unless specifically told to restrict purchases to certain individuals.

 

Estimates and Quotes: 

  • As a courtesy, Shade and Wise may, on occasion, assist the customer in estimating quantities of materials for a specific job. Material estimates are good-faith estimates and not guarantees of usage. The estimate is based on calculations and/or data provided by the customer and assumes normal typical construction techniques. The actual amount of material used may vary from this estimate for any number of reasons; therefore, no guarantee or warranty is made that the actual quantities used will not vary from the estimate.
  • Quoted prices are valid for 30 days and are subject to change afterward.
  • Changes in material quantities, beyond the original quote, may be priced differently.


Conditions of Sale:

  • Materials must be inspected and accepted/rejected upon delivery. Shade and Wise assume no responsibility for materials once delivery is complete.
  • Damages or shortages must be reported upon delivery, if no one is on site to accept delivery, report shortages or damages within 3 days.
  • Shade & Wise must be allowed to inspect disputed or damaged merchandise.
  • “Special order” material are non-cancellable and non-returnable. Special order is any material that Shade and Wise does not regularly stock on their yard(s). Any material brought to our yard and/or non-cancelable by the vendor will be billed to the customer in full.
  • Any special order material brought to our yard and not used for the job, must be taken by the customer within 90 days of S&W receiving material or customer will forfeit rights to said material. S&W will deliver material to customer drop yard for a fee.
  • No returns after 30 days; original invoice required for returns.
  • Returns on stock material will be subject to 25% restocking fee ($75 minimum).
  • Customer pays all delivery charges separately and are not subject to discount.
  • Shade and Wise is not liable for delays due to uncontrollable events.
  • The customer assumes liability for deliveries past curb upon request. Shade and Wise requests that the customer be present for any delivery beyond the curb to assist, if not present, Shade and Wise will assume no responsibility or liability for damage to jobsite including the lawn, driveway, well/septic or anything in the path of the requested delivery area that is not marked and known by our delivery staff.
